Job Description

We are seeking a highly skilled and experienced Corporate Lawyer to join our legal team. As a Corporate Lawyer, you will provide comprehensive legal advice and support to our organization on a wide range of corporate matters. You will play a critical role in ensuring compliance with applicable laws and regulations, drafting and reviewing legal documents, and representing the company in various corporate transactions.

Key Responsibilities:

  • Providing legal counsel and guidance on corporate law matters, including corporate governance, compliance, contracts, mergers and acquisitions, intellectual property, and employment law. 

  • Drafting, reviewing, and negotiating a variety of legal documents, such as contracts, agreements, licenses, and corporate policies. 

  • Conducting legal research and staying updated on relevant laws, regulations, and industry trends. 

  • Assisting in the preparation and filing of legal documents, such as articles of incorporation, bylaws, and regulatory filings. 

  • Advising on corporate structuring and reorganizations, including the formation and dissolution of entities.

  • Participating in due diligence activities for corporate transactions and providing legal recommendations.

  • Managing and resolving legal disputes, including negotiation, mediation, and, if necessary, litigation.

  • Collaborating with internal stakeholders, such as executives, management, and cross-functional teams, to provide legal advice and ensure legal compliance.

  • Building and maintaining strong relationships with external legal counsel, regulatory bodies, and government agencies. 

  • Keeping abreast of changes in corporate laws and regulations and providing proactive guidance to mitigate legal risks.

Key Activities:

Key Skills and Qualifications:

  • Juris Doctor (J.D.) degree from an accredited law school and a valid license to practice law. X+ years of experience as a corporate lawyer in a reputable law firm or in-house legal department. 

  • Strong knowledge and understanding of corporate law principles, regulations, and best practices. 

  • Excellent analytical, research, and problem-solving skills. 

  • Exceptional written and verbal communication abilities, with attention to detail. 

  • Ability to work independently, manage multiple priorities, and meet deadlines. 

  • Strong negotiation, contract drafting, and legal document review skills. 

  • Proficiency in legal research tools and software. 

  • High ethical standards, integrity, and confidentiality in handling sensitive information. 

  • Proven ability to work collaboratively in a team environment and provide practical legal advice.
